These Terms apply to all services (“Services”) provided by Where to know Insights GmbH, Potsdamer Platz 10, 10785 Berlin, Germany (“Where to know”) to business clients. The Services are delivered via Software-as-a-Service (SaaS). Client’s terms shall not apply unless expressly accepted in writing.
The contract becomes valid upon signing an Order Form or upon first use of the Services. Unless otherwise agreed, the initial term is 12 months and automatically renews for another 12 months unless terminated in writing with 3 months’ notice.
Clients may authorize employees or agents to access the platform. Clients are responsible for all user actions. The Services are for business use only.
Fees are specified in the Order Form and invoiced annually in advance. Payments are due within 14 days. Late payment may lead to suspension of access. All fees are net of VAT and other taxes.
Clients must keep login credentials confidential. Services may analyze public online reviews but do not guarantee completeness or accuracy of third-party content. Clients may not misuse or manipulate data or reviews.
Where to know retains all rights to its software, methodologies, and analytics. Clients receive a limited license to use the platform during the contract term. Client logos and content remain the client’s property. Where to know is permitted to display the client’s logo and name as a reference for marketing purposes, unless otherwise requested in writing.
Both parties shall comply with the GDPR. If Where to know processes personal data on behalf of the client, a Data Processing Agreement (DPA) will apply. All confidential information shall be treated as such and not disclosed to third parties.
Where to know is liable for intent and gross negligence. For slight negligence, liability applies only to breaches of material obligations and is limited to €25,000 per claim and €50,000 per year. Liability for indirect damages or data loss is excluded.
Either party may terminate with 3 months’ notice before renewal. Termination for cause remains unaffected. Upon termination, client access ends and data will be deleted unless legal retention applies.
German law applies exclusively. Place of jurisdiction is Berlin. If any provision is invalid, the remainder shall remain in force.
